1. Acceptance of Terms

These Terms of Service (the "Terms") form a legally binding agreement that governs the relationship between you and MASSolutions Management Group, Inc. dba The Solution, Inc. ("The Solution," "we," "us," or "our"), located at 2000 Crawford Street, Suite 1116, Houston, Texas 77002, including our subsidiaries and affiliates, in connection with your use of thesolutioninc.com (the "Site") and the services we make available through it (the "Services").

We may update, modify, suspend, or discontinue any part of the Services at any time, and these Terms apply to any updated or additional Services unless otherwise stated. Your continued use of the Site after we post changes constitutes your acceptance of those changes. We recommend you review these Terms periodically. If you do not agree to the updated Terms, you must stop using the Services.

7. Account Registration and Security

If you create an account (for example, to access a client portal), you agree to provide accurate, current, and complete information and to keep it updated. You are the sole authorized user of your account and are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use. We are not liable for any loss arising from your failure to safeguard your credentials. If you provide information that is false, inaccurate, or incomplete, we may suspend or terminate your account and refuse current or future use of the Services.

• violate any applicable local, state, federal, or international law or regulation.

We reserve the right, but are not obligated, to screen, refuse, remove, or disable access to any content, and to access, preserve, or disclose account information or content where we believe in good faith it is reasonably necessary to comply with legal process, enforce these Terms, respond to claims that content violates third-party rights, respond to customer-service requests, or protect the rights, property, or safety of The Solution, its users, or the public.

The Site, the Services, and all related content and software contain proprietary and confidential material protected by intellectual property and other laws. All content provided through the Services is protected by copyright, trademark, patent, or other proprietary rights. WE MAKE NO WARRANTY THAT: (i) THE SERVICES WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (iv) ANY ERRORS IN THE SERVICES WILL BE CORRECTED. ANY MATERIAL OBTAINED THROUGH THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICES CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOLUTION AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM: (a) THE USE OR INABILITY TO USE THE SERVICES; (b) THE COST OF SUBSTITUTE GOODS OR SERVICES; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY; OR (e) ANY OTHER MATTER RELATING TO THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless The Solution and its subsidiaries, affiliates, agents, employees, officers, partners, and licensors from any claim or demand, including reasonable attorneys' fees, made by any third party arising from or relating to any content you submit or transmit, your use of the Services, your violation of these Terms, or your violation of the rights of another person or entity.

15. Release

In the event you have a dispute with The Solution, you agree to release The Solution and its officers, directors, employees, agents, parents, subsidiaries, affiliates, partners, and any other third parties from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected to such dispute.

16. Copyright and Intellectual Property Infringement Notice

We respect the intellectual property of others and ask our users to do the same. We may, in our sole discretion, disable or terminate the accounts of users who infringe the rights of others. If you believe your work has been used in a way that constitutes copyright or other intellectual property infringement, please provide our agent with the following:

a) the electronic or physical signature of the person authorized to act on behalf of the owner of the right; b) a description of the copyrighted work or intellectual property you claim has been infringed; c) a description of where the allegedly infringing material is located on the Site; d) your physical address, telephone number, and email address; e) a statement that you have a good-faith belief that the disputed use is not authorized by the owner, its agent, or the law; and f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf.

17. Modifications to the Services and Terms

We reserve the right at any time to modify, suspend, or discontinue the Services, or any part of them, with or without notice. We also reserve the right to modify these Terms at any time by posting the updated Terms on the Site. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services or these Terms.

18. Termination

You may terminate your account or use of the Services at any time by submitting a request to advisors@thesolutioninc.com.

We may, without prior notice, suspend, terminate, or limit your account and access to the Services for any reason, including but not limited to: (a) any breach of these Terms or any incorporated agreement; (b) requests from law enforcement or government agencies; (c) discontinuance or modification of the Services; (d) technical or security issues; (e) extended periods of inactivity; (f) your engagement in fraudulent or illegal activity; or (g) nonpayment of any fees owed in connection with your account or Services.

All such determinations are made at our sole discretion, and we shall not be liable to you or any third party for any termination, suspension, or limitation of access.

19. Notices

We may provide you with notices, including regarding changes to these Terms, by email, regular mail, SMS or text message, postings on the Site, or other reasonable means. You agree that you are deemed to have received any notice we would have delivered had you accessed the Services in an authorized manner.

20. Governing Law and Venue

These Terms and the relationship between you and The Solution are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. You and The Solution agree that any claim, cause of action, or dispute arising out of or relating to these Terms or your relationship with The Solution shall be brought exclusively in the state courts located in Harris County, Texas, or in the U.S. District Court for the Southern District of Texas. You and The Solution consent to the jurisdiction of those courts and waive any objection to venue in those courts.

21. Statute of Limitations

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within four (4) years after the claim or cause of action arose, or it will be permanently barred.

22. Waiver and Severability

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the parties agree that the court should give effect to the parties' intentions as reflected in the provision, and the remaining provisions of these Terms shall remain in full force and effect.

23. Third-Party Beneficiaries

Unless otherwise expressly provided in these Terms, there are no third-party beneficiaries to this agreement.

24. Entire Agreement

These Terms constitute the entire agreement between you and The Solution regarding your use of the Site and Services, superseding any prior version of these Terms. You may be subject to additional terms that apply when you purchase or use certain Services, affiliate services, or third-party content. In the event of a conflict between these Terms and a signed written services agreement between you and The Solution, the signed services agreement controls with respect to that engagement.
